Proxy Contest

Definition:

A situation in which an individual or group seeks to gain control of a company’s board of directors by soliciting proxies from shareholders to vote in favor of their proposed board nominees or resolutions. Proxy contests often occur when there is disagreement between management and shareholders regarding the company’s direction or performance.
