Definition:

Beneficial Owner is the person or entity that enjoys the benefits of ownership of a security, such as receiving dividends or exercising voting rights, even though the security may be registered in another party’s name. In the context of proxy solicitation, beneficial owners are typically the ultimate owners whose proxies are sought by solicitors.
